How It Works

From first conversation to fully operational. Here’s how.

Joining substnz as a tied agent is a structured process. We handle the regulatory complexity so you can focus on what matters: your investors and your mandates.

From first call to operational: 7 to 12 weeks where the tied agent is established in Germany, and 10 to 16 weeks where the tied agent is established in another EEA state. Both are best case ranges, and the clock starts once your due diligence documents are complete. The German path is the base case. Where the tied agent is established in another EEA state, the longer range applies. Setting France up for the first time sits outside these ranges. We quote that case individually. The process: introductory call, proposal with transparent terms, regulatory due diligence (fit-and-proper assessment), compliance setup (AML/KYC, platform access), registration in the applicable tied agent register and any required notifications, then launch with ongoing compliance support. No own license required.

A clear path to your regulated practice

Whether you are an experienced placement agent looking for a new regulatory home or an asset manager seeking European distribution, the onboarding process follows the same proven path. Each step is designed to be efficient and transparent.

From the initial conversation to registration and first mandate, we guide you through every stage. The German path is the base case. The process, step by step

1

1. Introductory call

We start with a conversation to understand your background, experience, target markets, and mandate pipeline. This helps us assess whether the tied agent model is the right fit for your practice. No commitment required.

2

2. Proposal & terms

Based on our discussion, we provide a clear proposal outlining the commercial terms, scope of services, and fee structure. Our pricing is transparent with no hidden costs.

3

3. Due diligence

We conduct the required regulatory due diligence: fit-and-proper assessment, background checks, and review of your professional qualifications. This is a regulatory requirement for all tied agents.

4

4. Compliance setup

We set up your compliance framework: AML/KYC processes, internal procedures, reporting structures, and access to our technology platform. Everything you need to operate within the regulatory framework.

5

5. Registration

substnz registers you as a tied agent in the country where you are established. If that is Germany, your entry appears in the public BaFin register. If you are established in another EEA state, the national register and the applicable notifications apply instead. This step confirms your legitimacy to investors and partners.

6

6. Launch & ongoing support

You are fully operational. Begin working with your investors and mandates. We provide ongoing compliance support, regulatory updates, platform access, and a direct line to our team whenever you need it.

Common questions about the process

How long does the entire process take?

From first call to operational: 7 to 12 weeks where the tied agent is established in Germany, and 10 to 16 weeks where the tied agent is established in another EEA state. Both are best case ranges, and the clock starts once your due diligence documents are complete. The exact duration depends on how quickly due diligence materials are provided and on current processing times at the regulator.

Is there an upfront cost?

We discuss all costs transparently during the proposal stage. Our fee model is designed to be straightforward.

What documents do I need to provide?

Typical documents include proof of identity, professional qualifications, CV, proof of relevant experience, and references. We provide a complete checklist during the due diligence phase.

Can I start working with investors before registration, notification and any required approvals are complete?

No. Regulatory activities can only begin after the registration, notification and any approval steps required for the proposed activities are complete. However, you can prepare your pipeline and investor materials during the onboarding period.

What happens after I am registered?

You have full access to our platform, compliance infrastructure, and support team. We conduct regular compliance reviews and provide updates on regulatory changes that affect your practice.
